Terms of Sale
Article 1 – Parties
These Terms of Sale (hereinafter "ToS") are entered into between:

Hereinafter "the Company"
and
Any legal entity or entrepreneur acting for professional purposes, having placed an order with the Company.
Hereinafter "the Client"
The Company and the Client are hereinafter referred to individually as a "Party" and collectively as the "Parties".
Article 2 – Scope of Application
These ToS apply exclusively to sales concluded with professional clients (B2B).
Any order implies unconditional acceptance of these ToS.
They take precedence over any document of the Client unless there is a prior written agreement from the Company.
Article 3 – Definitions
For the purposes hereof, the following terms shall have the following meanings:
- Company: CODALUX SARL-S, as identified in Article 1.
- Client: any legal entity or entrepreneur acting for professional purposes, as identified in Article 1.
- Platform: the website published by the Company and accessible at www.monavisfacile.com
- Client Account: personal space accessible to the Client on the Platform after registration, enabling the management of their Products and redirection settings.
- Products: NFC plates, QR code supports and any physical device marketed by the Company.
- NFC Plate: a physical device integrating an NFC (Near Field Communication) chip, allowing, by simple contact with a compatible smartphone, to redirect the user to a destination configured by the Client.
- QR Code: a two-dimensional barcode printed on a physical support, allowing by scanning to access a destination configured by the Client.
- Redirection: a technical mechanism allowing a user to be directed from a Product (NFC or QR Code) to a third-party Platform or any other URL configured by the Client.
- Services: setup, technical configuration of the Products, commissioning of Redirections and support.
- Third-party Platforms: Google, TripAdvisor, Facebook, Instagram or any other online review platform to which the Products can redirect.
Article 4 – Purpose
Mon Avis Facile provides:
- Customized NFC devices
- Physical supports to encourage customer reviews
- Technical redirection solutions to review platforms
- Configuration and support services
The Company provides a technical redirection tool, not a review generation service.
Article 5 – Orders
An order becomes binding:
- Upon signature of a quote, or
- Upon online validation and payment
The Company reserves the right to refuse any order in case of:
- Previous payment default
- Fraud risk
- Non-compliance with platform policies
Article 6 – Prices
Prices are:
- Expressed in euros
- Excluding VAT unless otherwise stated
- Excluding delivery charges
Applicable VAT: Luxembourg legislation.
For intra-community sales: reverse charge possible subject to VIES validation.
The Company may modify its prices at any time. The applicable price is the one on the day of the order.
Article 7 – Payment
Unless otherwise agreed, payment is due at the time of the order.
In case of late payment:
- Luxembourg legal interest
- Minimum flat-rate compensation of €40
- Immediate suspension of services
- Accelerated payment of all amounts due
Article 8 – Delivery
Delivery times are indicative.
Transfer of risk occurs upon handover to the carrier.
No reasonable delay shall justify cancellation or compensation.
Article 9 – Retention of Title
Products remain the property of the Company until full payment has been received.
Article 10 – Customization & Client Responsibility
The Client guarantees:
- Holding the rights to the logos provided
- Respecting intellectual property
- Complying with review platform rules
Customized Products are neither returned nor refunded except in case of material defect.
Article 11 – Proper Use & Third-Party Platforms
The Client agrees to use the Products in accordance with:
- Applicable laws
- Platform rules (Google Business Profile, etc.)
The Company:
- Does not guarantee any number of reviews
- Does not guarantee any search ranking
- Cannot be held responsible for blocking, suspension or deletion of accounts
Any use aimed at artificially manipulating reviews is the sole responsibility of the Client.
Article 12 – Limitation of Liability
The Company's liability is strictly limited to the pre-tax amount of the order concerned.
The following are excluded:
- Loss of business
- Loss of revenue
- Reputational damage
- Indirect damages
The Company is only bound by an obligation of means.
Article 13 – NFC Technical Operation
Operation depends in particular on:
- Smartphone compatibility
- NFC activation
- System updates
- Technical policies of the platforms
No guarantee of universal operation can be provided.
Article 14 – Personal Data (GDPR)
The Company processes data in accordance with Regulation (EU) 2016/679.
Depending on the case:
- It acts as data controller for its direct clients
- As technical subcontractor
The Client remains solely responsible for data collected via their Google accounts or other platforms.
Article 15 – Warranty
Contractual warranty against material defects: 12 months from delivery.
Does not cover:
- Improper handling
- Impact damage
- Normal wear and tear
- Non-compliant use
Article 16 – Force Majeure
No liability in case of force majeure: natural disaster, supplier shortage, pandemic, strike, etc.
Article 17 – Intellectual Property
The concept, design, technical architecture and software solutions remain the exclusive property of the Company.
Any reproduction, copying or resale is prohibited.
Article 18 – Suspension / Termination
In case of:
- Non-payment
- Fraudulent use
- Non-compliance with platform rules
The Company may suspend or terminate without notice.
Article 19 – Partial Invalidity
If a clause is declared void, the others shall remain applicable.
Article 20 – Applicable Law
These ToS are governed by Luxembourg law.
Any dispute falls exclusively within the jurisdiction of the competent courts of the Grand Duchy of Luxembourg.
Effective as of 17/02/2026
